Terms of Service

These Terms of Service ("Terms") govern your use of the products and services offered by Graviton.tools, a brand operated by DC Color ("we," "us," or "our"), including GradeShare, Scaffold, Scope, Catch, and any future products. By purchasing a license, creating an account, or using any Graviton.tools product, you agree to these Terms.

Plain English summary: Buy a license, use it on up to 4 machines, don't resell or reverse-engineer our software. Scope subscriptions renew automatically — cancel anytime. We offer 30-day refunds. We're not affiliated with Blackmagic Design or Adobe. Virginia law governs any disputes.

1. Acceptance of Terms

By accessing or using any Graviton.tools product, you confirm that you are at least 18 years old, have the authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you are using a product on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Products and Licenses

Graviton.tools offers the following types of products:

Purchasing a license grants you a personal, non-exclusive, non-transferable right to use the applicable product subject to these Terms. You do not own the software — you own a license to use it.

3. License Terms — Desktop Apps & Browser Extensions

When you purchase a license for GradeShare, Scaffold, or Catch Pro, you receive a personal, non-exclusive, non-transferable license to use it. Unless otherwise stated:

Computer transfers: If you sell or transfer a computer with Graviton.tools software installed, contact support@graviton.tools to deactivate that machine before the transfer. We process deactivation requests within 2 business days.

4. License Terms — Scope (SaaS)

Scope is offered on monthly and annual subscription plans. Your subscription:

Your data remains accessible for 30 days after subscription expiry. After that period, inactive accounts and their associated data may be deleted. We will notify you by email before any data deletion occurs.

5. Delivery

All products are delivered digitally. After a successful purchase, you will receive a download link or license key by email via our delivery provider (Resend). It is your responsibility to retain access to this information. If you lose your license key, contact support@graviton.tools and we will resend it.

Scope accounts are activated immediately upon successful payment confirmation from Paddle.

6. Feature Limitations

All Graviton.tools products use output-based limitations rather than time-limited trials. You may use the full application to evaluate it — limitations apply only to the volume or scope of output until a license is purchased. We believe this is a fairer way to evaluate software than artificial time pressure.

7. Payments & Billing

All payments are processed by Paddle, which acts as the Merchant of Record for all Graviton.tools transactions. By completing a purchase you also agree to Paddle's terms of service. Paddle is responsible for collecting payment, handling VAT and sales tax where applicable, and processing refunds.

Prices are listed in USD and may vary by region due to local tax requirements. We reserve the right to change prices with reasonable notice — price changes will not affect active annual subscriptions until renewal.

8. Refund Policy

All Graviton.tools products are digital goods delivered immediately upon purchase. Because of this, all sales are generally final once a license has been issued or account access has been granted.

11. Intellectual Property

All Graviton.tools products, including their source code, design, user interface, and documentation, are owned by DC Color and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or brand assets.

Content you create using our products — proposals in Scope, exports from GradeShare, folder structures from Scaffold — remains your property. We claim no ownership over your work product.

12. Disclaimer of Warranties

Graviton.tools products are provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our products will be error-free, uninterrupted, or free of security vulnerabilities. We do not warrant that third-party integrations (including DaVinci Resolve, Adobe Premiere Pro, or any file delivery service) will remain compatible with our products.

13. Limitation of Liability

To the fullest extent permitted by applicable law, DC Color / Graviton.tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our products — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of our products shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Termination

We reserve the right to terminate or suspend your license or account if you materially breach these Terms, including but not limited to sharing license keys, reverse engineering our software, or using our products to harm others. We will provide notice where possible before termination.

You may terminate your use at any time by cancelling your subscription (for Scope) or ceasing use of the software. Upon termination, sections of these Terms that by their nature should survive (including intellectual property, disclaimer of warranties, and limitation of liability) will continue to apply.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Virginia.

Before initiating any formal dispute, we ask that you contact us at support@graviton.tools to attempt to resolve the issue informally. We'll make a genuine effort to do the same.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. For material changes, we'll notify active subscribers by email with at least 14 days' notice. Continued use of our products after the effective date of changes constitutes acceptance of the updated Terms.
